By using this Website, you acknowledge that you have read, understood, and accepted these Terms of Use, along with our Privacy Policy. 12. Governing Law

These Terms of Use shall be governed by and interpreted in accordance with the laws of the Federal Republic of Nigeria.

13. Dispute Resolution

Any disputes, differences or disagreements arising between the parties hereto in connection with this agreement which cannot be resolved by negotiations between the parties within fifteen (15) days shall be referred to arbitration in accordance with the provisions of the Arbitration and Mediation Act 2023, or any statutory reenactment or amendment thereto.

The arbitral panel shall consist of a sole arbitrator appointed jointly by the Parties. Where the Parties are unable to agree on the choice of the arbitrator within thirty (30) Business days of the reference of a dispute to arbitration, the choice of arbitrator shall be referred to the President of the Chartered Institute of Arbitrators, Nigeria branch, who shall nominate the arbitrator. The arbitral proceedings shall be held in Lagos, Nigeria, and shall be conducted in English Language.

14. Changes to the Terms

ISTL reserves the right to modify these Terms at any time. Any changes will be posted on this page with an updated "Effective Date." The Users continued use of the website after changes indicates your acceptance of the new Terms.

Iris Smart Technologies Limited ("ISTL", "we", "us" or the "Company") is committed to ensuring that the personal data it collects and processes is stored securely and protected from un-authorised access.

This Privacy Policy explains how we collect, use, store, disclose and protect your Personal Data, including any other information when you interact with our services. By accessing or using our services, you agree to the terms of this Privacy Policy and hereby consent to ISTL storing, processing and using your Personal Data to the extent allowed by the Nigeria Data Protection Act 2023 ("NDPA") and the Nigeria Data Protection Act General Application and Implementation Directive ("GAID") 2025.

4. Data Sharing and Disclosure

ISTL may disclose your Personal Data with other entities in the following limited circumstances:

  • a.We may provide such Personal Data to affiliated companies which may include Government and Parastatals or other trusted businesses or persons to process Personal Data on our behalf, for the purpose of verification under law. These entities will act in accordance with our instructions and in compliance with the NDPA and any other applicable data protection laws and any other appropriate confidentiality and security measures.
  • b.In response to a request for Personal Data, if we are required by, or we believe disclosure is in accordance with, any applicable law, regulation or legal process.
  • c.If required by law, regulation, or a legal process, such as in response to court orders, subpoenas, or other legal requests. We will disclose only the data necessary to fulfill such requirements.
  • d.We may share personal data with law enforcement officials, regulators, auditors, or other third parties if we believe such disclosure is necessary to comply with a legal obligation, prevent fraud, protect the rights or safety of individuals, or investigate potential criminal activity.
  • e.In the event of a merger, acquisition, financing, or sale of all or a portion of our business, we may disclose personal data to the relevant parties involved in the transaction.
  • f.We may share your personal data with your consent or at your direction, especially if we notify you in advance that your personal data will be shared in a specific manner and you provide your consent.
  • g.We may also share aggregated or de-identified or anonymized Information, which cannot reasonably be used to identify you.
  • h.We may disclose your personal data to third parties in the event of suspected fraud or when necessary to prevent fraud, financial crimes, or security risks.
  • i.We may share personal data with contractors who require the data to provide services to ISTL. These parties are obligated to process personal data in compliance with applicable data protection laws and confidentiality agreements.
  • j.When ISTL does not have a lawful basis for disclosure of your Personal Data, ISTL will obtain consent from you before sharing your Personal Data with third parties. Where ISTL needs to transfer your Personal Data to another country, we will ensure that such a country must have an adequate data protection law.

5. Protection of Personal Data

5.1. ISTL implements appropriate technical and organisational measures to protect the security and confidentiality of personal data from loss, theft, misuse and unauthorized access, disclosure, alteration and destruction. These measures consider the nature of the personal data and the risk of its processing. These measures include:

  • a.Access control systems - provision of security facilities for the protection of your Personal Data through the set-up of firewalls, limited access to specified authorized individuals and encryption
  • b.Vulnerability assessments - performance of periodic vulnerability assessments and network penetration testing on any and all systems, platforms, networks and applications that process Personal Information
  • c.Training and awareness - continuous data protection training of our staff

5.2. In handling personal data, ISTL will only collect and process personal data, which is accurate, relevant and tailored to the related purpose.

6. Data Retention

We will hold your Personal Data on our systems for as long as it is necessary to fulfil the purpose for which it was collected or to comply with legal, regulatory or internal policy requirements.

7. Data Storage

7.1. The Personal Data that ISTL collects from you may be transferred to, stored, and processed in locations outside of Nigeria, at client's offices outside Nigeria, including within countries where our affiliated partners, service providers, or data centres are located. By submitting your Personal Data, you consent to this transfer, storage, and processing, in accordance with the terms of this Privacy Policy.

7.2. We take steps to ensure that your Personal Data is handled securely and with the appropriate level of protection, irrespective of where it is stored or processed. ISTL will take all necessary steps to ensure that such transfers are in compliance with applicable data protection laws and are conducted in a lawful manner.

8. Data Breach/Privacy Violation

8.1. In the event of a breach of security leading to the accidental or unlawful destruction, loss, alteration, unauthorized disclosure of, or access to Personal Data, ISTL shall within 72 (Seventy-Two) hours of having knowledge of such breach report the details of the breach to Nigeria Data Protection Commission ("NDPC").

8.2. Where we ascertain that such breach is detrimental to your rights and freedoms in relation to your Personal Data, we shall also take steps to inform you of the breach incident, the risk to your rights and freedoms resulting from such breach and any course of action to remedy said breach.

9. Your Rights as a Data Subject

9.1. As a Data Subject, you are entitled to the following rights:

  • a.Right to request for and access their Personal Data collected and stored by ISTL;
  • b.Right to object to processing of their Personal Data and provide consent prior to the processing of their personal data for purposes other than that for which the Personal Data was collected;
  • c.Right to be informed of the processing activities and be notified of a personal data breach which is likely to result in high risk to your rights and freedoms;
  • d.Right to object to automated decision making and profiling;
  • e.Right to withdraw consent at any time;
  • f.Right to request rectification and modification of your data kept by ISTL;
  • g.Right to request for deletion or erasure of your data collected and stored by ISTL;
  • h.Right to request the transfer of their data from ISTL to a Third Party i.e. the right to the portability of data;
  • i.Right to request that ISTL restricts its processing of your Personal Data;
  • j.Right to make a complaint to the Nigeria Data Protection Commission (NDPC).
